Terms of Service

By accessing or using FRGMT ("the Service"), operated by FRGMT Labs, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users of the Service, including users on free and paid plans. Some features, such as print sales and the affiliate program, also have their own terms, which apply alongside these.

FRGMT is a cloud-based platform that enables creative professionals to deliver, share, and manage media files with their clients. Features include client galleries, Cinema video delivery, React video feedback, folder management, client comments and Selects, embeds, share links and upload links, print sales, team collaboration tools, a desktop application, and related workflow tools. Feature availability varies by subscription plan.

You must create an account to use the Service, with an email address and password or by signing in with Google. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for all activity that occurs under your account, including activity initiated through the FRGMT desktop application or an API token.

FRGMT offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis. All fees are charged in USD. We reserve the right to change pricing with 30 days notice to existing subscribers.

Refund policy:

• Monthly plans: no refunds
• Annual prepay plans: full refund available within 14 days of purchase provided no storage has been used
• Annual plans paid monthly: refund available within 7 days of the current billing cycle start provided no storage has been used in that cycle

Failure to pay may result in suspension or termination of your account and loss of access to paid features.

Each subscription plan includes a storage allocation as described on our pricing page. When your storage limit is reached, uploads are paused until you upgrade your plan or purchase additional storage blocks; your existing files are retained and are not deleted. No overage fees are charged. Storage usage is calculated based on the total size of all files stored in your account at the time of measurement. Storage add-on blocks are available on the Pro, Teams, and Teams Plus plans. Additional seats are available on the Teams and Teams Plus plans.

FRGMT branding on client-facing deliveries depends on the plan. On the Free plan, galleries, Cinema deliveries, and shared folders display a full FRGMT watermark, and delivery emails carry FRGMT attribution. On the Starter and Pro plans, deliveries carry a subtle FRGMT attribution, such as a “Delivered via FRGMT” line. From the Teams plan up, deliveries carry no FRGMT branding. Embeds are available on the Starter plan and above and are not available on the Free plan. When a paid plan ends and the account moves to the Free plan, existing embeds display an FRGMT watermark. Ninety days after the paid plan ends, the account’s files are removed and those embeds stop playing (see §7). Resubscribing to a paid plan within those ninety days removes the watermark.

When you cancel a paid plan, your account moves to the Free plan at the end of the billing period. Counting from that date:

• Day 60: the highest-resolution playback copies of your videos are removed. Your original files and standard playback copies stay, so client links keep working.
• Day 80: we email you a final warning.
• Day 90: every file in your account is permanently deleted, including originals, and your deliveries and embeds stop showing them.

Resubscribing before day 90 stops this schedule and keeps everything that has not yet been removed; high-resolution playback copies are made again from your originals. Download anything you want to keep before day 90.

Day 90 deletes files only. Your account stays open on the Free plan, and its other records stay with it until you delete the account: folder and view names and settings, file names, client comments and Selects, client email addresses, and delivery activity. Deleting your account (§16) removes them.

The FRGMT desktop application ("FRGMT Desktop") is available on the Pro plan and above. By using FRGMT Desktop, you agree to these Terms. FRGMT Desktop communicates with the Service using an API token associated with your account. You are responsible for keeping your API token secure. You may regenerate your API token at any time from your account settings. FRGMT is not liable for any loss, unauthorized access, or activity resulting from a compromised or improperly secured API token.

Teams, Teams Plus, and Enterprise plan subscribers may invite team members to their account. The account owner is responsible for all activity by team members, including their storage usage and uploaded content. Team members are subject to these Terms. Removing a team member immediately revokes that member's access to the account.

FRGMT offers referral and affiliate programs subject to separate program terms. Referral codes are limited to one per account and cannot be changed after first use at checkout. Referral discounts are applied as billing cycle reductions and are not redeemable for cash. Participation in the affiliate program is governed by a separate Affiliate Agreement, which sets out commission rates, tracking, and payout terms.

You retain all ownership rights to content you upload to FRGMT. By uploading content, you grant FRGMT Labs, Inc. a limited, non-exclusive license to store, process, and deliver that content solely for the purpose of providing the Service to you and your clients. Processing includes making preview images and playback copies, building zip downloads, and checking that each uploaded file is the type it claims to be. We will not use your content for advertising, marketing, machine learning training, or any purpose other than operating the Service. If we wish to feature your content in our marketing materials, we will request your explicit written consent separately. Your use of the Service is not conditioned on granting such consent.

Artificial intelligence and machine learning. FRGMT does not use the content you upload, including your photos, videos, and other files, to train, develop, or improve any artificial intelligence or machine learning models. We do not sell your content, and we do not share or license it to any third party for AI or machine learning training. Your content is used only to store, process, and deliver it for the Service you have asked us to provide.

Files collected through upload links. When you create an upload link, you are responsible for the files other people send through it, as if you had uploaded them yourself.

When you share a gallery, Cinema delivery, React view, or folder with a client via a share link, that client accesses the content without creating an account. Clients may leave comments, with a name if they choose to give one, and may mark Selects. You are responsible for managing client access and revoking share links when appropriate. FRGMT is not responsible for unauthorized access resulting from share links you have distributed.

You may not use FRGMT, or let anyone use your account, share links or upload links, to:

• upload, share, or distribute content that is illegal, defamatory, harassing, threatening, obscene, or that infringes anyone's copyright, trademark, privacy, or other rights;
• upload, share, or distribute content that sexually exploits or endangers minors;
• upload, share, or distribute intimate images of a person without that person's consent;
• upload, share, or distribute malware, or any file meant to damage, disrupt, or gain unauthorized access to a device, system, or account;
• run phishing, fraud, or scams, or impersonate another person or business;
• harass, threaten, or abuse other users, their clients, or our staff;
• use FRGMT as a general file host for content unrelated to your creative work and its delivery to your clients;
• reverse engineer, scrape, overload, probe, or circumvent access controls, rate limits, or security measures of the Service or its infrastructure.

You are responsible for having the rights and consents needed for everything you upload, including the consent of identifiable people in your photos and videos where the law requires it. We may remove any file or disable any link, without notice, if we believe it breaks these Terms or puts our users, their clients, or the Service at risk.

We share account information or content with law enforcement only when the law requires it or allows it: in answer to valid legal process such as a subpoena, court order, or warrant, or when we believe in good faith that disclosure is needed to prevent an imminent risk of death or serious physical injury. Unless the law or a court order forbids it, or telling you would put someone at risk or hinder an investigation, we tell you before we disclose your information in answer to legal process.

If you believe content on FRGMT infringes your copyright, write to [email protected] with the link to the material and the work you say it infringes. We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

We may suspend or terminate your account for violation of these Terms. Where we can, we tell you why and give you a chance to respond; we do not when the violation is serious, or when telling you would break the law or put someone at risk.

You may delete your account at any time from your account settings. Deleting your account cancels your subscription, disconnects any connected Dropbox or Google Drive account and revokes FRGMT's access with that provider, and permanently deletes your files, folders, views, comments, and team data. Deletion runs at once, in one step, and cannot be undone; your share links and embeds stop working straight away. Download any content you wish to keep before you delete your account. Some records are kept after deletion as our Privacy Policy describes, such as billing records the law requires.

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. We are not responsible for any loss of content due to technical failures, though we maintain redundant infrastructure to minimize this risk.

To the maximum extent permitted by applicable law, FRGMT Labs, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including loss of content, revenue, or profits.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Denver, Colorado, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
